Share Purchase Agreement

This document is a template of a share purchase agreement governed by Cyprus law made in connection to the sale and purchase of shares in a Cyprus limited liability company. It can be made for acquisition of the entire issued share capital of the subject matter company, and thus the acquisition of the company, or a part thereof. Its provisions include the sale and purchase, the purchase price, the conditions precedent, completion, warranties, termination, governing law,  dispute resolution and other miscellaneous relevant terms.  It is ideally suitable in the instance where the subject matter company is a holding company, holding one or more specific assets, and thus there is no requirement for extensive warranties to be given by the seller. However, subject to adjustments,  it can also be suitable where the subject matter company is an active business.
